1. Master Agreement & Scope of Services
These Terms and Conditions ("Agreement") constitute a legally binding contract between SkillGrad EdTech and Technology Private Limited, operating under the brand name SmartApp Technology Group ("SmartApp", "Company"), and the enterprise, institution, or individual ("Customer", "Client", "You") accessing or purchasing our software licenses, cloud SaaS platforms, development services, or consulting solutions.
By signing an enterprise Statement of Work (SOW), executing an online service order, or accessing SmartApp platforms (including SmartFlow Pro, SmartCampus, SmartEstate, SmartCampaigns, SmartRentals, SmartCommerce), you confirm full acceptance of this Agreement.
If executing on behalf of an enterprise entity, you warrant that you hold the legal authority to bind that entity to these terms.
2. Service Level Agreement (SLA) & Uptime Commitments
SmartApp commits to enterprise-grade system availability, latency thresholds, and priority response windows across all deployed cloud infrastructures.
99.99% Availability: Our multi-region Kubernetes cloud clusters are engineered for 99.99% uptime, excluding scheduled off-peak maintenance windows announced at least 48 hours in advance.
Severity 1 Incidents (Critical Outages): Guaranteed incident response within 15 minutes, with 24/7 dedicated engineering squad allocation.
SLA Credits: In the event of documented downtime exceeding agreed thresholds caused solely by our infrastructure, clients are eligible for proportional service credits applied to subsequent billing cycles.
3. Intellectual Property Rights & Licensing
We maintain unambiguous intellectual property boundaries between client-owned business data and SmartApp proprietary technology engines.
Client Data & IP: All data, branding assets, custom workflow logic, and proprietary business databases uploaded by the client remain 100% the exclusive property of the client.
SmartApp Core Platform IP: All foundational source code, pre-built microservices engines, proprietary AI algorithms, UI component libraries, and SaaS architectures remain the sole intellectual property of SkillGrad EdTech and Technology Pvt Ltd.
License Grant: Upon full payment of applicable license fees, SmartApp grants the client a non-exclusive, non-transferable, enterprise-scoped license to use the ordered software.
4. Commercial Terms, Invoicing & Payments
Enterprise engagements and SaaS subscriptions are governed by agreed Statement of Work (SOW) milestone structures and periodic billing schedules.
Payment Terms: Invoices are net-15 or net-30 days from issuance as specified in the service agreement.
Statutory Taxes: All commercial fees are subject to applicable statutory taxes including Goods and Services Tax (GST) in India or foreign withholding taxes where applicable.
Late Payments: Accounts overdue by more than 30 days are subject to interest at 1.5% per month or the maximum statutory rate allowed under law.
5. Term, Suspension & Dispute Resolution
Clear protocols for termination, dispute remediation, and governing jurisdiction.
Termination for Cause: Either party may terminate immediately upon written notice if the other party breaches a material term and fails to cure within 30 days.
Data Export on Termination: Following termination, clients receive a 30-day grace period to export all tenant databases in standard structured formats (JSON/SQL/CSV).
Governing Law & Jurisdiction: This Agreement is governed by the laws of the Republic of India. The courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes.
